All deliveries are subject to these conditions of sale and written confirmation of the order. The general conditions of sale are systematically given to each buyer to enable him to place an order.
Consequently, the fact of placing an order implies the buyer's full and unreserved acceptance of these general conditions of sale. Any change to the order requested by the buyer can only be taken into consideration by the seller if it is received in writing before the products are shipped.
Our prices are net ex-property. VAT not applicable, art. 293 B of the CGI. No discount for early payment. The seller retains ownership of the goods sold until full payment of the price in accordance with the terms of Law No. 80-335 of May 12, 1980. However, upon delivery, the risks of loss or deterioration are transferred to the buyer. . Unless expressly agreed, delay in delivery times cannot give rise to compensation or cancellation of the order, and in particular in the following cases:

CONSERVATION AND STORAGE
To store Champagne wine, it is necessary to keep the bottles constantly lying down, in a cool place, away from light, avoiding sudden variations in temperature. Any complaints concerning the quality of the goods, to the exclusion of any transport dispute, must be made in writing within eight days of delivery by RAR courier No return of goods may be made without our written consent, this consent does not imply any recognition. Our invoices are payable in cash net and without discount upon receipt, or by draft only after prior agreement.
CO NDITIONS OF PAYMENT
Our invoices are payable on the due date shown on them. Commercial bills sent to the customer must be returned duly accepted within the time limits in accordance with the law. For any entry into a relationship, it is customary to ask the Purchaser at least for a deposit representing the value of the raw materials to be supplied as well as the costs to be incurred. In accordance with article L441-6 of the French Commercial Code, late payment penalties are due for non-payment from the day following the date of payment which appears on the invoice. The rate of these penalties is 20% per year, with a minimum of 100 €. Collection by court or by any litigation body also entails an increase of 5% of the amount claimed, with a minimum lump sum of € 100.
The same provisions are applied in the event of insolvency proceedings. Failure to pay for our goods and wines on the due date will result in the immediate enforceability of all sums remaining due regardless of the method of payment provided and the application as penalty clauses, of an indemnity equal to 15% of sums due. In accordance with Law No. 92-1442 of 12/31/1992, default on payment will also result in the application of late payment penalties of a rate equal to one and a half times the legal interest rate.
In the event of recovery of a debt, a lump sum of administrative costs of 150 € will be indebted to CHAMPAGNE MADAME DE SAVIGNY and the customer will bear all the costs of files, litigation and recovery at their own expense.
In case of extension of drafts, the costs and interest resulting from this extension will be borne by the buyer. Our sales are subject to French law. In the event of a dispute in the execution of this contract, the parties must seek an amicable solution before any legal action. Jurisdiction is expressly attributed to the Tribunal de Grande Instance of the seller's domicile. In the event of a dispute, the Commercial Court at our head office has sole jurisdiction. For export in the event of a dispute, the Courts of our head office are also solely competent, including in the event of a guarantee call or multiple defendant.
In the event of non-payment, the seller may terminate the sale as of right and without warning, by sending a simple registered letter.

TITLE RETENTION CLAUSE
